This Services Agreement ("Agreement") is entered into between Polemarch ("Provider") and Deon Diggs ("Client") for the engagement described below. Confidentiality — each party will protect the other's confidential information and use it only to perform this Agreement. 2. Ownership — Client owns its data; Provider retains all rights to the Polemarch platform, models, code, and underlying IP. 3. Limitation of liability — Provider's aggregate liability is capped at the fees paid in the preceding 12 months. 4. Termination — either party may terminate for material breach with 30 days' written notice and an opportunity to cure. 5. Governing law — State of Maryland, USA. By signing below, Client agrees to the terms of this Agreement.
